1. Introduction and Acceptance

These Terms and Conditions ("Terms") govern your engagement with Heritage Prime's real estate investment consulting services. By engaging our services or using our website, you agree to be bound by these Terms.

If you do not agree with any part of these Terms, please do not engage our services or use our website. We reserve the right to refuse service to anyone for any reason at any time.

2. Definitions

  • "Services" refers to real estate investment consulting services provided by Heritage Prime including Luxury Residence Acquisition Consulting, International Investor Property Services, and Legacy Property Portfolio Architecture.
  • "Client" or "You" refers to any individual or entity engaging Heritage Prime's services.
  • "We", "Us", "Our" refers to Heritage Prime and its representatives.
  • "Agreement" refers to the combination of these Terms and any specific service engagement agreement.

3. Services Description

Heritage Prime provides professional real estate investment consulting services focused on Singapore's luxury residential property market. Our services include property identification, market analysis, transaction support, and portfolio advisory services as detailed in specific service descriptions.

Services are provided based on information you provide and current market conditions. While we exercise professional judgment, property investment involves inherent uncertainties and we cannot assure specific outcomes.

4. Eligibility and Account Responsibilities

You must be at least 18 years of age to engage our services. By engaging our services, you represent and warrant that:

  • You have legal capacity to enter into binding agreements
  • All information you provide is accurate and complete
  • You will maintain accuracy of information throughout engagement
  • You are financially capable of pursuing property transactions you inquire about

5. Prohibited Uses

You agree not to use our services or website for:

  • Any unlawful purpose or in violation of any local, national, or international law
  • Infringing intellectual property rights of Heritage Prime or third parties
  • Transmitting harmful code, viruses, or malicious software
  • Attempting unauthorized access to our systems or client information
  • Engaging in fraudulent activities or misrepresenting your identity or circumstances
  • Harassing staff or other clients
  • Using automated systems to access our services without permission
  • Reselling or unauthorized commercial use of our services

6. Intellectual Property

All content on our website and in our service materials, including text, graphics, logos, images, and software, is the property of Heritage Prime and protected by copyright and other intellectual property laws.

You may not reproduce, distribute, modify, or create derivative works from our content without express written permission. Limited use of materials for personal reference in connection with our consulting services is permitted.

7. Service Fees and Payment Terms

7.1 Fee Structure

Consulting fees are quoted in Singapore Dollars (SGD) and specified in individual service engagement agreements. Current service fees are:

  • Luxury Residence Acquisition Consulting: SGD 2,950
  • International Investor Property Services: SGD 3,450
  • Legacy Property Portfolio Architecture: SGD 3,700

7.2 Payment Timing

Unless otherwise agreed, consulting fees are payable 50% upon engagement commencement and 50% upon service completion or property transaction closing, whichever occurs first.

7.3 Accepted Payment Methods

We accept bank transfer, cheque, and other payment methods as agreed in engagement documentation.

7.4 Fee Changes

Heritage Prime reserves the right to modify service fees at any time. Fee changes will not affect services already contracted under previous pricing.

7.5 Taxes

All fees are exclusive of applicable taxes unless stated otherwise. You are responsible for any taxes associated with our services.

8. Refund Policy

Refund eligibility depends on service stage and circumstances:

  • If engagement is terminated before services commence, initial deposits are refundable minus administrative costs
  • Once consulting services begin, fees paid are generally non-refundable as professional time has been allocated
  • If Heritage Prime is unable to provide services as agreed, applicable refunds will be provided
  • Refund requests must be submitted in writing to [email protected]
  • Approved refunds are processed within 14 business days via original payment method

9. Service Delivery and Timeline

Service timelines vary based on property market conditions, client requirements, and availability of suitable properties. While we make reasonable efforts to provide timely service, we do not warrant specific timelines unless explicitly agreed in writing.

Client responsiveness and decision-making affect service delivery timelines. Delays caused by client circumstances do not extend our service obligations.

10. Disclaimers and Limitations of Liability

10.1 "As Is" Provision

Our services are provided "as is" without warranties of any kind, express or implied. We do not warrant that our services will meet all your requirements or that they will be error-free or uninterrupted.

10.2 No Guarantee of Results

Property investment involves inherent uncertainties. We do not and cannot assure specific investment returns, property value appreciation, or successful property acquisition. Past performance or client experiences do not guarantee future results.

10.3 Limitation of Liability

To the maximum extent permitted by law, Heritage Prime's total liability to you for any claims arising from our services shall not exceed the fees paid by you for those specific services.

10.4 Indirect Damages

We are not liable for indirect, incidental, special, consequential, or punitive damages including lost profits, lost data, or business interruption arising from or related to our services.

10.5 Client Risk Assumption

You acknowledge that property investment decisions are ultimately yours and involve financial risk. You assume all risks associated with property transactions and investment decisions.

11. Force Majeure

Heritage Prime is not liable for delays or failures in performance resulting from circumstances beyond our reasonable control including natural disasters, government actions, civil unrest, telecommunications failures, or other force majeure events.

12. Termination

12.1 Termination by Client

You may terminate engagement by providing written notice. Fees for services rendered up to termination date remain payable.

12.2 Termination by Heritage Prime

We may terminate engagement if:

  • You breach these Terms or engagement agreement
  • You provide false or misleading information
  • Payment obligations are not met
  • Continuing engagement would violate professional standards or law

12.3 Effect of Termination

Upon termination, we will provide reasonable transition assistance. Confidentiality obligations survive termination. Outstanding fees remain payable.

13. Dispute Resolution

13.1 Informal Resolution

Before pursuing formal dispute resolution, parties agree to attempt informal resolution through good faith negotiation.

13.2 Mediation

If informal resolution fails, disputes will be submitted to mediation under Singapore Mediation Centre procedures before pursuing arbitration or litigation.

13.3 Governing Law and Jurisdiction

These Terms are governed by Singapore law. Any disputes shall be subject to the exclusive jurisdiction of Singapore courts.

14. General Provisions

14.1 Entire Agreement

These Terms, together with specific service engagement agreements, constitute the entire agreement between parties regarding our services.

14.2 Severability

If any provision of these Terms is found unenforceable, remaining provisions continue in full effect.

14.3 No Waiver

Our failure to enforce any right or provision does not constitute waiver of that right or provision.

14.4 Assignment

You may not assign your rights or obligations under these Terms without our written consent. We may assign our rights and obligations with notice to you.

14.5 Notices

Notices must be in writing and delivered to addresses specified in engagement agreements or to [email protected].

15. Modifications to Terms

Heritage Prime reserves the right to modify these Terms at any time. Material changes will be communicated through our website and, where appropriate, direct notification to active clients. Continued engagement after changes constitutes acceptance of modified Terms.
